Entente de confidentialité | Confidentiality Agreement
Nous avons été informés que JLL Canada a été retenu par le vendeur à titre d’agent exclusif pour organiser la vente des propriétés. Le vendeur a demandé que toutes les parties intéressées envoient toutes demandes de renseignements et toutes communications uniquement à JLL Canada. Nous vous avons demandé de nous fournir certaines informations concernant les propriétés. Ces informations peuvent inclure, sans s’y limiter, (i) un mémorandum d’offre ou tout matériel se rapportant à une offre, (ii) divers autres documents et données concernant les propriétés, qu’ils soient fournis par écrit, oralement ou par le biais d’un accès autorisé à un site extranet de contrôle préalable désigné, et (iii) tout produit de travail développé à partir de ce qui précède (collectivement, le « matériel d’évaluation »).  Nous reconnaissons et acceptons que le matériel d’évaluation ne nous sera fourni qu’à la condition que nous acceptions de traiter le matériel d’évaluation de manière strictement confidentielle conformément aux modalités suivantes (l’« entente »):

1.              La présente entente se terminera à la date de fin, soit deux (2) ans après la date des présentes. Tout matériel d’évaluation relatif aux propriétés qui pourra être fourni à une partie réceptrice (tel que ce terme est  défini ci-après) en vertu de la présente entente continuera d’appartenir au vendeur ou à JLL Canada, selon le cas. Le matériel d’évaluation sera utilisé par la partie réceptrice uniquement dans le but d’évaluer l’acquisition potentielle des propriétés et ne sera pas utilisé de quelque manière préjudiciable ou défavorable au vendeur, aux propriétés, au(x) gestionnaire(s) des propriétés ou à tout partenaire, tout membre ou tout prêteur du vendeur ou du or des gestionnaire(s) des propriétés. Dès que cela sera raisonnablement possible, à la demande du vendeur ou de JLL Canada ou à la résiliation de notre entente, nous retournerons  au vendeur ou à JLL Canada, selon le cas, ou, dans la mesure permise par la loi, nous détruirons, tout matériel d’évaluation qui  nous a  été  fourni ou a été créé par nous, ainsi que tout autre matériel écrit contenant ou reflétant le matériel d’évaluation, et nous ne conserverons ni copie, ni extrait, ni toute autre  reproduction,  en  tout  ou  en  partie,  de  ces documents écrits. 

2.              Nous acceptons de garder tout matériel d’évaluation strictement confidentiel et nous ne divulguerons pas le contenu de celui-ci à  quiconque  sans  le consentement écrit préalable de JLL Canada et du vendeur;   à condition,  toutefois,  que  le  matériel  d’évaluation  puisse  être divulgué à nos employés clés ainsi qu’aux avocats externes, aux comptables et aux prêteurs institutionnels de la partie réceptrice,  le  cas échéant,  agissant  au nom de la partie réceptrice « en cas de nécessité absolue » et uniquement aux fins énoncées aux présentes. Nous, ainsi que toute personne à qui nous divulguons, en tout ou en partie, le matériel d’évaluation, conformément aux modalités des présentes, seront désignés aux présentes individuellement et collectivement comme une or des « partie(s) réceptrice(s) ».   Toute partie réceptrice, autre que nous, qui recevra le matériel d’évaluation devra, avant de recevoir ce matériel d’évaluation de nous, être informé de la nature confidentielle de celui-ci et des modalités de la présente entente, et devra recevoir l’ordre de ne divulguer le matériel d’évaluation à aucun tiers.  Nous convenons que nous serons responsables de toute violation des modalités énoncées dans la présente entente par toute partie à qui nous aurons divulgué le matériel d’évaluation. Nous aviserons immédiatement JLL Canada et le vendeur par écrit de toute violation de la présente entente par une partie réceptrice qui sera portée à notre attention. De  plus, les parties réceptrices ne divulgueront à aucune personne, sauf si requis par une ordonnance de citation à comparaître ou en vertu de la loi,  (i) le  fait  que le  matériel  d’évaluation a été mis à leur disposition ou qu’elles ont inspectée toute partie du matériel d’évaluation;   (ii)  le  fait  que  des  discussions ou des négociations  ont  lieu concernant  la transaction proposée  vis-à-vis les Propriétés; ou (iii) toute modalité,  toute condition ou tout  autre  fait  relatif à la transaction proposée  vis-à-vis les Propriétés, y compris le statut de celle-ci. Les dispositions du présent article 2 ne s’appliquent pas aux informations (i) qui sont ou deviennent  soumises à une ordonnance de  citation à  comparaître dûment prononcée par un tribunal compétent, ou (ii) qui sont accessibles au grand public de façon générale autrement qu’à la suite d’une violation de la présente entente;  à condition, toutefois,  que nous acceptons d’informer rapidement le vendeur de cette obligation de divulguation, et ce, lorsque cela est raisonnablement possible, avec un préavis suffisant afin de permettre au vendeur de demander une ordonnance conservatoire ou de prendre toute autre mesure appropriée pour éviter d’avoir à s’y conformer.

3.              Nous reconnaissons et acceptons que le vendeur, JLL  Canada,  ni  aucun  administrateur,  dirigeant,  employé,  partenaire,  membre,  agent,  avocat  ou  représentant du vendeur  ou  de JLL Canada, y compris,  sans  s’y limiter, tout avocat, tout gestionnaire d’actifs, toute société de gestion, tout évaluateur  ou tout ingénieur  retenu  par le vendeur  ou  JLL Canada  (collectivement,  les « représentants du propriétaire »),   ne font aucune déclaration ni ne donnent aucune garantie, quelle que soit, quant à l’exactitude ou l’aspect complet du matériel d’évaluation.   L’information  financière ou les projections contenues dans  le matériel d’évaluation représentent des estimations fondées sur  des  hypothèses jugées raisonnables dans  les  circonstances, et ce, bien qu’elles n’aient pas été vérifiées de façon indépendante, et  aucune  déclaration ou  garantie  de  quelque  nature que ce soit  (y compris,  mais sans s’y  limiter, le caractère   raisonnable,  l’exactitude  ou  l’aspect complet)  n’est  faite ou donné par le vendeur,  JLL  Canada  ou  les  représentants du propriétaire.   JLL  Canada  et  le vendeur  déclinent  expressément  toute  responsabilité  pour toute déclaration ou  garantie,  expresse ou implicite, se rapportant  au matériel  d’évaluation  ou  à l’effet que  les  résultats  réels  seront  conformes  aux  projections  du matériel d’évaluation; et nous acceptons que ni JLL Canada, ni le vendeur, ni les représentants du propriétaire, n’auront de responsabilité envers nous, ou envers toute partie réceptrice, résultant de notre utilisation du matériel d’évaluation, ou du fait que l’on s’y soit fié, et ce, que l’achat des propriétés soit consommé ou  non. Nous déclarons que nous mènerons    nos propres enquêtes indépendantes pour toutes les questions que nous jugeons nécessaires ou appropriées afin d’évaluer toute transaction proposée impliquant les propriétés. Dans le cas où le vendeur conclut avec nous un accord définitif pour l’achat et la vente des propriétés, les dispositions du présent article 3 sont soumises aux modalités de cet accord définitif se rapportant au matériel d’Évaluation.

4.              Nous acceptons d’être responsables du paiement de tous les frais, toutes commissions ou toutes les autres compensations payables à tout courtier, tout intermédiare ou tout agent qui indique avoir traité avec nous ou par notre intermédiaire, autre que JLL Canada, et JLL Canada n’aura aucune obligation de partager une partie de sa commission avec tout courtier, tout agent, tout intermédiare ou toute autre personne ou entité qui a traité avec nous ou par notre intermédiaire. Par la présente, nous acceptons    d’indemniser, de défendre et de dégager le vendeur et JLL Canada de toute responsabilité à l’égard de toute réclamation, tout dommage, tout perte et tout responsabilité (y compris les frais de justice et débours raisonnables) à cet égard. 

5.              La présente entente (i) nous liera et s’appliquera au profit du vendeur et de JLL Canada ainsi que de leurs successeurs ou ayants droit respectifs et (ii) est régie et interprétée conformément aux lois internes de la Province de l’Ontario et aux lois fédérales du Canada qui s’y appliquent et les parties conviennent expressément que le lieu pour entendre un différend ou une réclamation sera uniquement à Toronto, en Ontario.   LA SOUMISSION DU MATÉRIEL D’ÉVALUATION ET DE TOUT PROJET DE CONVENTION D’ACHAT À DES FINS D’EXAMEN NE VISE PAS À ÊTRE, NI NE CONSTITUERA, UNE OFFRE DE VENTE DES PROPRIÉTÉS OU UNE RÉSERVATION OU UNE OPTION OU UNE PROPOSITION, DE QUELQUE NATURE QUE CE SOIT, POUR LA VENTE OU L’ACHAT DES  PROPRIÉTÉS.   EN AUCUN CAS, LA SOUMISSION DU MATÉRIEL D’ÉVALUATION OU DU PROJET DE CONVENTION D’ACHAT NE CRÉERA D’OBLIGATION OU DE RESPONSABILITÉ POUR LE VENDEUR OU JLL CANADA DE TOUTE NATURE QUE CE SOIT.  NOUS RECONNAISSONS ET ACCEPTONS DE FAÇON EXPRESSE QUE : I) LA SÉLECTION DU GAGNANT DU PROCESSUS D’OFFRE SE FAIT À LA SEULE DISCRÉTION DU  VENDEUR  II) LE VENDEUR, SI TELLE EST SA DÉCISION POUR QUELQUE RAISON QUE CE SOIT, N’A AUCUNE OBLIGATION D’ACCEPTER TOUTE PROPOSITION REÇUE À LA SUITE DU PROCESSUS D’OFFRES OU DE SÉLECTIONNER TOUT ACHETEUR III) JLL CANADA ET SES REPRÉSENTANTS, À MOINS D’AVOIR D’ABORD REÇU DES INSTRUCTIONS ÉCRITES DU VENDEUR LES AUTORISANT À LE FAIRE, NE SONT PAS TENUS D’EXPLIQUER POURQUOI UN SOUMISSIONAIRE PARTICULIER A ÉTÉ OU N’A PAS ÉTÉ RETENU DANS LE CADRE DU PROCESSUS  D’OFFRES ET IV) NOUS INDEMNISERONS JLL CANADA, SA SOCIÉTÉ MÈRE ET SES SOCIÉTÉS AFFILIÉES, SES REPRÉSENTANTS ET LE VENDEUR À L’ÉGARD DE TOUTE PERTE, TOUT COÛT ET TOUT DOMMAGE (Y COMPRIS LA PERTE DE PROFITS ET LES DOMMAGES INDIRECTES) QUI PEUVENT SURVENIR EN RAISON DU FAIT QU’IL NE NOUS SOIT PAS ACCORDÉ LE DROIT D’ACHETER LES PROPRIÉTÉS DANS LE CADRE DU PROCESSUS D’APPEL D’OFFRES POUR QUELQUE RAISON QUE CE SOIT.

6.              Les dispositions de la présente entente survivront à toute cessation ou tout arrêt de notre examen du matériel d’évaluation.   Sans  le  consentement  préalable  du  vendeur,  ni nous ni aucune des parties réceptrices ne communiquerons (concernant la transaction proposée, le vendeur  ou  les  propriétés)  avec  (a)  tout  employé,  tout gestionnaire ou tout consultant de la société de gestion engagé par le vendeur pour  gérer  les  propriétés,  (b)  tout  locataire,  tout sous-locataire ou tout autre occupant des propriétés, (c)  tout  prêteur  (ou  tout  participant au  prêt  d’un  tel  prêteur) du vendeur,  (d)  tout autre tiers, autre  que  l’un  de  nos  représentants,  ou  (e) tout partenaire ou tout membre du vendeur.

7.              Nous reconnaissons que l’obtention de dommages-intérêts ne constituerait pas un recours suffisant pour toute violation des modalités de la présente entente et, par conséquent, le vendeur et JLL Canada auront droit, à l’exécution en nature et à l’injonction comme recours en cas de violation.  Ces recours ne seront pas des recours exclusifs, mais s’ajouteront à tous les autres recours à la disposition du vendeur et de JLL Canada en droit ou en équité.

8.              Les parties réceptrices acceptent de ne pas visiter les propriétés, ailleurs que dans les zones ouvertes au grand public, sans avoir préalablement avisé et reçu la permission de JLL Canada et du vendeur.
We have been advised that JLL Canada has been retained by the Seller as its exclusive agent to arrange a sale of the Properties. The Seller has requested that all interested parties should direct all inquiries and communications through JLL Canada only. We have requested that you furnish us with certain information concerning the Properties. This information may include, without limitation, (i) an offering memorandum or materials, (ii) various other documents and data concerning the Properties whether delivered in writing, orally, or through authorized access to a designated due diligence extranet site, and (iii) any work product developed from any of the foregoing (collectively, "Evaluation Material"). We acknowledge and agree that the Evaluation Material will be furnished to us only on the condition that we agree to treat the Evaluation Material in strict confidence in accordance with the following terms and conditions (the “Agreement”): 

1.    This Agreement shall terminate upon the date which is two (2) years after the date hereof. All Evaluation Material relating to the Properties which may be furnished to any Recipient (as hereinafter defined) under this Agreement shall continue to be the property of the Seller and/or JLL Canada, as the case may be. The Evaluation Material will be used by the Recipient solely for the purpose of evaluating the possible acquisition of the Properties and will not be used in any manner detrimental or adverse to Seller, the Properties, the manager(s) of the Properties or any partner, fellow member or lender of any Seller or manager(s) of the Properties. As soon as reasonably possible upon Seller’s or JLL Canada’s request or upon the termination of our Agreement, we will return to Seller or JLL Canada, as applicable, or, to the extent permitted by law, destroy, all Evaluation Material and any other written material containing or reflecting any of the Evaluation Material that has been provided to or created by us, and will not retain any copies, extracts, or other reproductions in whole or in part of such written materials.

2.   We agree to keep all Evaluation Material strictly confidential and shall not disclose the contents thereof to any person without both JLL Canada’s and Seller's prior written consent; provided, however, that the Evaluation Material may be disclosed to our key employees, and the Recipient's outside counsel, accountants, and institutional lenders where applicable, acting on behalf of Recipient on a strictly "need to know" basis, and solely for the purposes set forth herein. We, together with any person to whom we disclose all or any portion of the Evaluation Material, pursuant to the terms hereof, are referred to herein individually and collectively as "Recipient(s)." Any Recipient other than us receiving Evaluation Material shall, prior to receiving such Evaluation Material from us, be informed of the confidential nature of such Evaluation Material and the terms of this Agreement, and directed not to disclose the Evaluation Material to any third party. We agree that we will be responsible for any breach of the terms and conditions set forth in this Agreement by a party to whom we have disclosed the Evaluation Material. We will immediately notify JLL Canada and Seller in writing of any breach of this Agreement by any Recipient which may come to our attention. In addition, the Recipients will not disclose to any person, unless otherwise required by subpoena or mandated by law, (i) the fact that the Evaluation Material has been made available to it or that it has inspected any portion of the Evaluation Material; (ii) the fact that any discussions or negotiations are taking place concerning the proposed transaction regarding the Properties; or (iii) any of the terms, conditions or other facts pertaining to the proposed transaction regarding the Properties, including the status thereof. The provisions of this Paragraph 2 shall not apply to information (i) which is or becomes subject to a properly issued subpoena by a court of competent jurisdiction, or (ii) is generally available to the public other than as a result of a breach of this Agreement; provided, however in any of the foregoing instances, we agree to promptly notify Seller of such required disclosure and when reasonably possible with sufficient advance notice to permit Seller to seek a protective order or to take other appropriate action to waive compliance.

3.   We acknowledge and agree that neither Seller nor JLL Canada nor any director, officer, employee, partner, member, agent, counsel or representative of Seller or JLL Canada, including without limitation any lawyer, asset manager, management company, appraiser or engineer retained by Seller or JLL Canada (collectively, the “Owner Representatives”) make any representation or warranty whatsoever as to the accuracy or completeness of the Evaluation Material. Any financial information and/or projections contained in the Evaluation Material represent estimates based on assumptions believed to be reasonable under the circumstances, although they have not been independently verified, and no representation or warranty of any kind whatsoever (including, but not limited to, reasonableness, accuracy, or completeness) is made by Seller, JLL Canada or the Owner Representatives. JLL Canada and Seller expressly disclaim any and all liability for representations or warranties, express or implied, regarding the Evaluation Material or that actual results will conform to projections in the Evaluation Material; and we agree that neither JLL Canada nor Seller nor the Owner Representatives shall have any liability to us or to any Recipient resulting from our or their use or reliance upon the Evaluation Material, whether or not a purchase of the Properties is consummated. We represent that we will conduct our own independent investigations for all those matters which we deem necessary or appropriate in order to evaluate any proposed transaction involving the Properties. In the event that Seller and we enter into a definitive agreement for the purchase and sale of the Properties, the provisions of this Section 3 are subject to the terms of such definitive agreement concerning the Evaluation Material.

4.   We agree to be responsible for the payment of any fee, commission or other compensation payable to any broker, finder or agent who alleges it has dealt with or through us, other than JLL Canada, and JLL Canada shall have no obligations to share any part of its commission with any broker, agent, finder or any other person or entity who has dealt with or through us. We hereby agree to indemnify, defend and hold Seller and JLL Canada harmless from and against any and all claims, damages, losses and liabilities (including reasonable legal fees and disbursements) in this regard.

5.  This Agreement shall be (i) binding on us and inure to the benefit of the Seller and JLL Canada and their respective successors or assigns and (ii) governed by and construed in accordance with the internal laws of the Province of Ontario and the federal laws of Canada applicable therein and the parties expressly agree that venue for any such dispute/claim shall only be in Toronto, Ontario. THE SUBMISSION OF THE EVALUATION MATERIAL AND ANY DRAFT PURCHASE AGREEMENT FOR EXAMINATION IS NOT INTENDED TO, NOR WILL IT, CONSTITUTE AN OFFER TO SELL THE PROPERTIES, OR A RESERVATION OF, OR OPTION OR PROPOSAL OF ANY KIND FOR THE SALE OR PURCHASE OF THE PROPERTIES. IN NO EVENT WILL THE SUBMISSION OF THE EVALUATION MATERIAL OR DRAFT PURCHASE AGREEMENT CREATE ANY OBLIGATION OR LIABILITY UPON SELLER OR JLL CANADA WHATSOEVER. WE EXPRESSLY ACKNOWLEDGE AND AGREE THAT: i) THE SELECTION OF THE WINNER OF THE BID PROCESS IS AT THE SOLE DISCRETION OF THE SELLER ii) THE SELLER IS UNDER NO OBLIGATION TO ACCEPT ANY PROPOSAL RECEIVED AS A RESULT OF THE BID PROCESS OR TO SELECT/AWARD A PURCHASER IF IT CHOOSES NOT TO FOR ANY REASON iii) THAT JLL CANADA AND ITS REPRESENTATIVES ARE NOT REQUIRED TO EXPLAIN WHY A PARTICULAR BIDDER WAS OR WAS NOT SUCCESSFUL UNDER THE BID PROCESS UNLESS IT HAD FIRST RECEIVD INSTRUCTIONS IN WRITING FROM THE SELLER TO DO SO AND iv) WE SHALL INDEMNIFY AND HOLD JLL CANADA, ITS PARENT AND AFFILIATES, REPRSENTATIVES AND THE SELLER HARMLESS FROM ANY AND ALL LOSES, COSTS AND DAMAGES (INCLUDING LOSS OF PROFITS/COSNEQUENTIAL DAMAGES) THAT MAY OCCUR AS A RESULY OF US NOT BEING AWARDED THE RIGHT TO PURCHASE THE PROPERTIES UNDER THE BID PROCESS FOR ANY REASON.

6.  The provisions of this Agreement shall survive any termination of our review of the Evaluation Material. Without the prior consent of Seller, neither we nor any of the Recipients shall communicate (regarding the proposed transaction, the Seller or the Properties) with (a) any employee, manager or consultant of the management company retained by Seller to manage the Properties, (b) any tenant, subtenant, or other occupant of the Properties, (c) any lender (or any loan participant of any such lender) to Seller, (d) any other third party other than one of our representatives, or (e) any partner or fellow member of Seller.

7. We acknowledge that money damages would not be a sufficient remedy for any violation of the terms of this Agreement and, accordingly, Seller and/or JLL Canada will be entitled to specific performance and injunctive relief as remedies for any violation. These remedies will not be exclusive remedies but will be in addition to all other remedies available to Seller and/or JLL Canada at law or equity.

8.   The Recipients agree not to visit the Properties, other than areas open to the general public, without prior notice being given to and permission provided by JLL Canada and Seller.
